ANT MANAGEMENT PLATFORM TERMS OF SERVICE

IMPORTANT NOTICE: THESE TERMS CREATE A LEGALLY BINDING CONTRACT. BY ACCESSING OR USING THE ANT MANAGEMENTPLATFORM, YOU ACCEPT THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR PLATFORM.PART A: INTRODUCTION AND DEFINITIONS1. Definitions and Interpretation

1.1 Key Definitions

In these Terms of Service("Terms"), the following capitalised terms have the meaningsset forth below: "Account" means a registered user profile created on the Platform. "Agency" or "ANT     Management" or "Company" or "we" or "us" means ANT MODEL EVENTS MANAGEMENT L.L.C, a limited liability company registered  in Dubai, UAE. "Agreement" means these Terms, including all incorporated policies. "Booking" means a confirmed engagement between a Client and Talent for Services. "Client" means any individual or entity seeking to engage Talent for Services. "Collective Content" means all Content available on the Platform, including User Content and Platform Content. "Content" means any text,     images, video, audio, or other materials. "GCC" means Gulf Cooperation Council countries (UAE, Saudi Arabia, Kuwait, Qatar, Bahrain, Oman). "Job Posting" means a Client's request for Services posted on the Platform. "Platform" means the ANT Management mobile application and website https://anttalent.app. "Platform Content" means Content provided by ANT Management. "Services" means modelling, photography, videography, creative direction, or related professional services specified on a Talent's profile, provided by Talents to Clients. "Talent" means individuals offering Services through the Platform. "UAE" means the United Arab Emirates. "User" means any person accessing the Platform, including Clients and Talents. "User Content" means Content submitted by Users

1.2 Interpretation

References to "writing" include electronic communications "Including" means "including without limitation" Headings are for convenience only References to laws include amendments and successor legislation

2. About ANT Management and Acceptance of Terms

2.1 Our Role
ANT Management operates atwo-sided digital marketplace connecting Clients with professional Talents. Wefacilitate connections but are not a party to Service contracts between Users. ANTManagement acts as a limited payment collection agent solely for the purpose offacilitating payments between Clients and Talents. We are an intermediaryplatform, not an employment agency or employer.

2.2 Acceptance and Modifications

BY USING THE PLATFORM, YOU AGREETO THESE TERMS. YOUR CONTINUED USE OF THE PLATFORM AFTER ANY MODIFICATIONS CONSTITUTES ACCEPTANCE OF THE UPDATED TERMS. IT IS YOUR RESPONSIBILITY TO CHECKTHESE TERMS PERIODICALLY FOR CHANGES. IF YOU DO NOT AGREE TO ANY MODIFICATIONS,YOU MUST IMMEDIATELY STOP USING THE PLATFORM.

2.3 Key Principles

By using the Platform, youacknowledge: Talents are independent contractors, not employees of ANT Management or Clients ANT Management does not control how Services are performed Contracts for Services are directly between Clients and Talents ANT Management facilitates payments but     does not guarantee Service quality Your use of the Platform and use of or     provision of Services is at your own risk

PART B: PLATFORM ACCESS AND USER ACCOUNTS

3. Eligibility and Access Rights

3.1 Age and CapacityRequirements

You must be: At least 18 years old Legally capable of entering binding contracts Not previously banned from the Platform Authorised to bind any entity you represent

3.2 Geographic Availability

Users are responsible forcompliance with local laws in their jurisdiction.

3.3 Professional Standards

All Users must maintainprofessional standards including: Respectful communication Timely responses Compliance with cultural sensitivities Honest representation of capabilities

4. Account Registration and Management

4.1 Creating Your Account

To register, you must: Download the mobile application Provide accurate, complete information including (but not limited to): Full legal name Valid email address Mobile number Social media profiles Government-issued identification  Professional portfolio (Talents)  Company details (Clients representing organisations)  Valid bank account details for payment processing (Talents)
Physical measurements (Talents)

4.2 Identity Verification

ANT Management reserves theright to: Conduct identity verification through third-party services Perform background checks in accordance with applicable privacy laws Request additional documentation Verify professional credentialsYou authorise these checks bycreating an Account. While we may verify information, we make no guaranteesabout accuracy, and you interact with other Users at your own risk.

4.3 Account Security

You are responsible for: Maintaining password confidentiality All activity under your Account Notifying us immediately of unauthorised access at noreply@antalentapp.com  Updating your User information to keep it currentANT Management may: Monitor Account activity for security Suspend Accounts showing suspicious activity Require password resets Access and review messages for compliance

4.4 Account Restrictions

You may not: Create multiple Accounts without permission Share Account credentials Transfer your Account Impersonate others Use false information
PART C: PLATFORM OPERATIONS

5. How the Platform Works

5.1 Service Workflow

The Platform operates throughthe following process: (a) Job Posting (Client) Client creates detailed Job Posting specifying: Service requirements Date, time, location Budget/fee offered  Special requirements  Usage rights needed (b) Agency Review ANT Management reviews Job Postings for: Appropriateness Compliance with Terms Completeness (c) Talent Applications Approved postings become visible to relevant Talents Talents review requirements and apply if interested Multiple Talents may apply for one posting (d) Selection and Confirmation Client reviews Talent applications Client selects preferred Talent(s) Selected Talent confirms availability (e) Payment Processing Upon confirmation, Client pays the full Booking fee upfront Payment processed through Stripe Funds held in held until the Services have been performed (f) Service Delivery Client is able to message the Talent once the Booking fee has been paid Talent performs Services as agreed Both parties fulfil Booking obligations (g) Payment Release Occurs 48 hours after Service completion Absent disputes, funds will be released as follows: 70% to Talent  30% commission to ANT Management.

5.2 Subscription Services forTalents

Talents may subscribe to enhanced services:

Free Plan: Basic profile visibility Limited job applications Standard support

Pro Plan (AED 40/month): Enhanced profile placement and “Pro Badge” 15 applications to Job Postings per month for potential Bookings Increased User Content uploads (15 images, 2 videos) Priority support 2x boosts per month to be featured on the “Discover” page 5% increase in commission to the Talent (i.e., Talent receives 75% of the Booking fee and ANT Management retains     25%) notwithstanding Clause 5.1 (g) above)

Elite Plan (AED 120/month): Enhanced profile placement and “VIP Badge” Unlimited applications to Job Postings per month for potential Bookings Increased User Content uploads (50     images, 10 videos) Priority support 4x boosts per month to be featured on the  “Discover” page 10% increase in commission to the Talent  (i.e., Talent receives 80% of the Booking fee and ANT Management retains 20%) notwithstanding Clause 5.1(g) above) Access to private projects (invite-only Job Postings)

5.3 Subscription Management

Subscriptions auto-renew monthlyunless cancelled via the Platform settings at least 24 hours before the renewaldate. No refunds are provided for partial months or for any subscription tier.You may cancel at any time, but you remain responsible for any active Bookingsor outstanding fees.

A PAID SUBSCRIPTION TIER DOES NOT GUARANTEE BOOKING(S).

6. Booking Terms and Payment Processing

6.1 Creating Job Postings(Clients)

When creating a Job Posting,Clients must: Provide accurate, complete information Specify all requirements clearly Disclose intended usage rights Respect minimum fee guidelines Comply with applicable labour lawsANT Management reserves theright to: Review and approve Job Postings Reject inappropriate content Suggest modifications Remove violating Job Postings

6.2 Payment Obligations(a) Client Payments:

Full payment required upon Booking confirmation Payments processed in AED through Stripe Currency conversion at Stripe's rates Clients bear conversion costs Additional VAT/taxes to be included as applicable (b) Commission Structure: ANT Management retains a 30% service commission (or 25% for Elite Plan Talents and 20% for the Elite Plan Talents) Talent receives the balance of the Booking fee Payments are made only to the bank account registered in the Talent’s Account and must be in the Talent’s legal name All payments to Talents are net of agency fees, platform commissions, subscription adjustments, processingfees, and applicable taxes. Talents have no entitlement to any gross paymentamount. ANT Management reserves the right to modify its fee structure at anytime upon notice to Users via the Platform or email. (c) Payment Security: 48-hour escrow period post-Service Dispute resolution window (see below) Automatic release if no disputes raised Failed payments due to incorrect bank details may incur additional processing feesANT Management is notresponsible for exchange rate fluctuations or any currency conversion lossesincurred by Users. (d) Payment Liability Disclaimer: ANT Management is notresponsible for any delays, failures, errors, or losses caused by paymentprocessors (including Stripe), banks, or any third-party financial systems.

6.3 Cancellation, Rescheduling,and OvertimeClient Cancellations:

48 hours before Booking: 50% cancellation fee Less than 24 hours before Booking: No refund Rush bookings: No refund regardless of timing of cancellationTalent Cancellations: More than 48 hours before: Warning issued Less than 48 hours: Account restrictions may be put in place by ANT Management Repeated cancellations: Permanent suspension Emergency exceptions will be reviewed on a case-by-caseRescheduling: One free reschedule per Booking if Talent is available Additional reschedules are at ANT Management's discretion and subject to Talent confirmation Overtime Overtime pay is to be calculated at 15% of the agreed hourly base rate for the Booking, per hour or any portion thereof Refunds or chargebacks outsidethe defined cancellation policy are not permitted. Users waive any right todispute or chargeback payments that are consistent with the Platform’scancellation and rescheduling terms.

6.4 Disputes and Chargebacks


Report disputes within 48 hours of Service completion Provide evidence supporting claims ANT Management investigates and determines resolution Clients must cooperate with chargeback     investigations Fraudulent chargebacks may result in legal actionANT Management’s role indisputes is limited to facilitating the dispute resolution process and makingfinal determinations solely for the purpose of releasing or withholding heldfunds in accordance with these Terms. ANT Management does not act as a legaladjudicator or arbitrator between Users.

PART D: RIGHTS AND OBLIGATIONS

7. Client Rights and Responsibilities

7.1 Client Obligations

Clients must: Provide safe working conditions Respect Talent boundaries and professionalism Make timely payments Obtain necessary permits and permissions Maintain appropriate insurance Comply with visa and work permit requirements where required Provide reasonable breaks and refreshments Ensure appropriate supervision for location shoots.

7.2 Insurance and Indemnity

Clients must: Maintain, at their sole expense, commercial general liability insurance including coverage for bodily injury, property damage, and contractual liability Provide proof of insurance (certificate of insurance) upon request or prior to any Booking confirmation. ANT Management reserves the right to restrict or cancel Bookings if adequate coverage is not provided Maintain any additional insurance required by law or the location of the Services (e.g., workers’ compensation where applicable) Indemnify ANT Management against all claims arising from Services (including but not limited to claims arising     from Client’s provision of unsafe working conditions, failure to obtain permits, or negligence in supervising the Services) Cover costs of permits, locations, and     equipment.

8. Talent Rights and Responsibilities

8.1 Talent Obligations

Talents must: Maintain accurate, current profiles Respond promptly to Booking requests Arrive punctually and professionally prepared Perform Services with skill and care Respect confidentiality agreements Maintain valid, accurate bank account information for payment receipt Immediately update bank account details if changed Ensure bank account is in Talent's legal name matching Account registration Maintain, at their sole expense, appropriate insurance cover.

8.2 Independent Contractor Status

Talents acknowledge they are: Independent contractors and not employees Responsible for their own taxes Free to work with other platforms In control of how Services are performed Not entitled to employment benefits Required to maintain own insurance where applicableNothing in these Terms or anyBooking creates any employment, partnership, joint venture, or agencyrelationship between ANT Management and any User (Client or Talent). ANTManagement and Users are independent parties.

8.3 Representation andWarranties

Talents warrant they: Have rights to all submitted Content Are not violating exclusive contracts Will disclose “mother agency” relationships if applicable Possess claimed skills and experience Will maintain professional standards

8.4 Payment Account Requirements

Talents acknowledge and agree that:
·        Payments will only be made tobank accounts in the Talent's registered legal name
·        ANT Management is notresponsible for payment delays caused by incorrect bank information
·        Talents are responsible forany bank fees or charges related to receiving payments
·        Bank accounts must be capableof receiving international wire transfers
·        ANT Management may requireverification of bank account ownership
·        Use of third-party paymentaccounts (e.g., accounts not in Talent's name) is prohibited
·        ANT Management reserves theright to suspend payments if bank account verification fails

9. Usage Rights and Intellectual Property

9.1 Standard Usage Rights

Unless otherwise agreed inwriting between the Talent and the Client: Duration: One year from Service date Territory: Country where Services performed Media: Social media, web, point-of-sale Excluded: Broadcast, outdoor advertising, print, billboards.

9.2 Extended Usage

Additional usage requires: Prior written agreement Additional compensation (negotiated  separately) Specific scope definition Clear attribution requirements

9.3 AI and Digital Rights ProtectionStrictly Prohibited Without Written Consent

Training AI models with Talent images Creating deepfakes or digital doubles Biometric data extraction Facial recognition applications Voice synthesis or cloning Behavioural pattern analysis.

AI Usage Requirements

Explicit written consent from Talent and ANT Management Minimum of 200% additional fees Limited scope and duration Right to audit and deletion Clear AI disclosure in final use.

9.4 Platform IntellectualProperty

All Platform Content remains ANTManagement's exclusive property. Users receive a limited, revocable licence toaccess Platform Content solely for permitted Platform use.

PART E: CONTENT AND COMMUNICATIONS

10. User Content

10.1 Content Standards

User Content must not: Violate third-party rights Violate applicable laws Contain false or misleading information Include harmful or malicious code Promote illegal activities Contain discriminatory material Violate cultural or religious sensitivities Include inappropriate material involving minors.

10.2 Licence Grant

By posting Content, you grant ANT Management a perpetual, worldwide, royalty-free, non-exclusive,transferable licence to: Display Content to other Users Use Content for Platform promotion (including use of Talent profiles, images, and Content for promotional and marketing purposes of the Platform) Create derivative works for Platform     functionality Store and backup Content Share Content with third-party service providers.

10.3 Content Monitoring

ANT Management may, but is notobligated to: Review Content before publication Remove violating Content Suspend Accounts posting prohibited     Content Report illegal Content to authorities Preserve Content for legal proceedings.

11. Communications and Messaging

11.1 Platform Communications


All initial contact must occur through Platform messaging ANT Management may monitor communications for compliance Users must maintain professional communication standards Harassment or inappropriate messages may result in suspension ANT Management is not responsible for the misuse of information or content exchanged between Usersthrough the Platform messaging system.

11.2 Marketing Communications

By registering, you consent toreceive: Service-related notifications Marketing messages (opt-out available) SMS and WhatsApp alerts for Bookings Email updates about Platform featuresStandard messaging rates applyfor SMS communications.

PART F: PROHIBITED ACTIVITIES AND COMPLIANCE

12. Prohibited Conduct

12.1 Users Must Not:Platform Misuse:
Circumvent Platform security or payment systems Use automated systems without permission Interfere with Platform operations Attempt unauthorised access Reverse engineer Platform technology

Commercial Violations: Misrepresent Services or qualifications Post false or misleading reviews Manipulate search rankings Charge hidden fees Engage in fraudulent bookings, payment     manipulation, misuse of refunds/chargebacks, or any activity intended to exploit the Platform’s financial systems.

Legal and Ethical Violations: Violate applicable laws or regulations Infringe intellectual property rights Engage in discriminatory practices Facilitate illegal services Violate visa or work permit requirements.

Safety Violations: Create unsafe working conditions Engage in harassment or threats Share others' personal information Misuse emergency features Ignore safety protocols.

12.2 Consequences of Violations

ANT Management may: Issue warnings Restrict Account features Suspend or terminate Accounts Withhold payments Report to authorities Pursue legal remedies.

13. Regional Compliance (GCC)

13.1 Cultural SensitivityRequirements

All Users must: Respect religious values and customs Accommodate Ramadan scheduling where possible.

ANT Management expects that allmembers act according to societal standards of morals and customs in allaspects of their professional and public lives, both on and off the Platform. ANT Management will not tolerate bullying, discrimination, harassment, or anyconduct that, in our sole discretion, would tarnish, injure, damage ornegatively impact the company’s corporate image or potentially cause harm toany of its users. Violation may result in immediate suspension or termination.

13.2 Legal Compliance

Users are responsible for: Obtaining appropriate visas and work permits if applicable Complying with local labour laws where applicable Understanding applicable cross-border regulations Tax obligations in relevant jurisdictions. ANT Management does not withhold or report taxes on behalf of Users. Complying with country-specific laws and restrictions

PART G: LIABILITY AND RISK ALLOCATION

14. Disclaimers and Warranties

14.1 Platform Provided "AsIs"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.ANT MANAGEMENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING: MERCHANTABILITY FITNESS FOR PARTICULAR PURPOSE NON-INFRINGEMENT ACCURACY OR RELIABILITY UNINTERRUPTED SERVICE SECURITY.

14.2 No Guarantee of Results

ANT Management does notguarantee: Talents will receive Bookings Clients will find suitable Talents Services will meet expectations Payment disputes will resolve favourably Background checks are accurate Users are who they claim to be.

15. Limitation of Liability15.1 Liability Cap

Subject to DIFC Law No. 12 of 2004, ANT Management's maximum aggregate liability shall not exceed the greaterof: Total fees paid by you in the 12 months preceding the claim USD 100.

15.2 Excluded Damages

ANT Management is not liablefor: Indirect or consequential damages Lost profits or opportunities Loss of data Reputational damage Third-party claims of any kind Any physical injury, damages, property     damage, or incidents occurring during or related to the performance of     Services arranged through the Platform.

15.3 Exceptions

Limitations do not apply to: Death or personal injury caused by the negligence of ANT Management Fraud or fraudulent misrepresentation Breaches of applicable consumer protection laws.

15.4 Third-Party Disputes

ANTManagement is not a party to any contract between Clients and Talents. Anydispute between Users (including without limitation disputes regarding Servicequality, payment, injury, property damage, or intellectual property) is solelybetween the Users. You irrevocably release ANT Management, its officers,directors, employees, and agents from any and all claims, demands, and damages(actual and consequential) of every kind and nature, known and unknown, arisingout of or in any way connected with such user-to-user disputes.16. IndemnificationYou agree to defend, indemnify,and hold harmless ANT Management and its officers, directors, employees,agents, and affiliates (collectively, the “ANT Parties”) from andagainst any and all claims, actions, demands, liabilities, losses, damages,judgments, settlements, costs, and expenses (including reasonable legal fees)arising out of or in connection with:

a.       your breach of these Terms orany Booking agreement;

b.      your User Content or any Contentyou provide or use in connection with the Services;

c.       your use of or access to thePlatform;

d.      your provision or receipt ofServices, including without limitation any personal injury, property damage, orthird-party claims arising from the performance (or failure to perform) ofServices;

e.       your violation of any applicablelaw, regulation, or third-party rights (including intellectual property, privacy, or usage rights); orf. our negligence, wilful misconduct, or breach of your insurance cover obligations.ANT Management will provide youwith prompt notice of any such claim. You shall cooperate fully in the defenceof any claim and ANT Management reserves the right to assume exclusive controlof the defence and settlement of any matter subject to indemnification. Thisindemnity obligation survives termination of these Terms or any Booking.

PART H: DISPUTE RESOLUTION

17. Dispute Resolution Process

17.1 Mandatory Good FaithNegotiation

Before initiating formalproceedings, parties must: Send written notice describing the dispute Engage in good faith negotiations for 14 days Attempt reasonable resolution Notice to ANT Management: ANTMODEL EVENTS MANAGEMENT L.L.C, noreply@antalentapp.com, Attn: Legal Department.

17.2 DIFC Court Jurisdiction

If negotiation fails: Claims under AED 500,000: DIFC Small Claims Tribunal Claims over AED 500,000: DIFC Court of First Instance Governing Law: DIFC Law

17.3 Individual Claims Only

YOU WAIVE ANY RIGHT TO BRING ORPARTICIPATE IN GROUP, COLLECTIVE, OR REPRESENTATIVE ACTIONS. ALL CLAIMS MUST BEBROUGHT INDIVIDUALLY.

17.4 Time Limitation

Claims must be brought withinone year of the event giving rise to the claim, subject to DIFC Law No. 12 of2004.

PART I: TERMINATION AND GENERAL TERMS18. Term and Termination

18.1 Term

These Terms commence uponPlatform access and continue until terminated.

18.2 Termination by Users

You may terminate by: Deleting your Account through the Platform settings

18.3 Termination by ANTManagement

ANT Management may terminate orsuspend Accounts immediately (and withhold payments) for: Terms violations Fraudulent activity (including of a financial nature) Legal requirements Extended inactivity Repeated complaints

18.4 Effects of Termination

Upon termination: Access rights cease immediately Pending Bookings must be completed Outstanding payments remain due (subject to fraud or misuse exceptions) User Content may be retained for legal compliance Certain Terms provisions survive

19. General Legal Provisions

19.1 Amendment of Terms

ANT MANAGEMENT RESERVES THERIGHT TO MODIFY, UPDATE, OR AMEND THESE TERMS AT ANY TIME AND FOR ANY REASONWITHOUT NOTICE TO YOU. CHANGES ARE EFFECTIVE IMMEDIATELY UPON POSTING TO THEPLATFORM. YOUR CONTINUED USE OF THE PLATFORM FOLLOWING ANY CHANGES CONSTITUTESYOUR ACCEPTANCE OF THE REVISED TERMS. YOU SHOULD REVIEW THESE TERMS REGULARLY.

19.2 Entire Agreement

These Terms, including thePrivacy Policy and incorporated documents, constitute the entire agreementbetween parties.

19.3 Severability

If any provision is invalid, theremainder continues in full effect.

19.4 Assignment

You may not assign these Terms.ANT Management may assign without restriction.

19.5 Force Majeure

Neither party is liable forfailures due to circumstances beyond reasonable control, including: Natural disasters War or terrorism Pandemic Government actions Armed hostilities Cyber attacks or system failures Labour disputes

19.6 Notices

Notices must be in writing to: ANT Management: noreply@antalentapp.com  Users: registered email address

19.7 Language

These Terms are in English.Translations are for convenience only.

19.8 Survival

Provisions regardingintellectual property, liability, indemnification, and dispute resolutionsurvive termination.

PART J: PLATFORM-SPECIFIC TERMS

20. Privacy and Data Protection

Your use is subject to our Privacy Policy [https://anttalent.app/privacy-policy], which explains how we collect, use,and protect personal information.

21. Third-Party Services

21.1 Payment Processing

Payments are processed by Stripe. You expressly agree to be bound by Stripe’s terms of service andprivacy policy (as amended from time to time) and to provide accurate paymentinformation.

21.2 Background Checks

Third-party services may be usedfor verification. Their terms apply to those services.

21.3 External Links

We are not responsible forthird-party websites linked from the Platform.

22. Mobile Application Terms

22.1 Updates

By installing our app, youconsent to automatic updates.

22.2 Device PermissionsThe app requires certain devicepermissions to function properly.

22.3 Apple iOS Specific Terms This agreement is between you and ANT Management, not Apple Apple has no obligation to provide support Apple is not responsible for claims relating to the app You must comply with Apple's terms of service You confirm that you are not located in an embargoed country

BY USING THE ANT MANAGEMENTPLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUNDBY THESE TERMS OF SERVICE. THESE TERMS MAY BE UPDATED AT ANY TIME AND YOURCONTINUED USE CONSTITUTES ACCEPTANCE OF ANY CHANGES.
